The service is only available to customers who use it in the course of business.
Contract and Obligations
2.1 This service is a search engine marketing tool for websites.
2.2 You shall provide the relevant information to Raidbox. Raidbox shall have the right to automatically review the content of your website. Ranking shall help you define keywords and create a keyword list. Based on this keyword list, Ranking automatically proposes texts for advertisements, which you may change and adapt at any time. The advertisements are placed in search engines and appear in searches for specific keywords. The placement of advertisements shall be at Raidbox's discretion.
2.3 The advertising texts shall be stored on servers operated by Raidbox or the search engine operator.
2.4 Generated clicks and the performance of the advertising texts and chosen keywords shall be monitored by Raidbox. In multi-advertising campaigns, Raidbox reserves the right to automatically adjust placements for optimal overall campaign performance.
2.5 The number of clicks depends on factors such as keyword demand and your budget. Advertisements are placed until your daily budget limit is reached. Click pricing is based on pay-per-click (PPC) rates determined by search engine and portal operators.
2.6 You shall specify the monthly budget for clicks. The daily budget may vary daily.
2.7 Only valid clicks shall be logged and verified based on the transaction systems of the search engine and portal operators.
2.8 You will have access to statistics on advertisements via the Ranking interface, showing defined keywords, placed advertisements, impressions, and clicks.
2.9 Allow up to 24 hours for Ranking features to activate and place advertisements.
2.10 Promotional vouchers (e.g., for Google Ads or equivalent) are valid only for the first order of Ranking per customer and cannot be reused for the same linked domain. Vouchers provide a one-time credit (amount as specified at purchase) toward the advertising budget. If the credit is spent within the first month, no additional credit is provided. Unused portions expire after the promotional period.
Obligations of the Customer
3.1 You must be the legitimate domain owner of the website or have written authorization from the domain owner.
3.2 You are responsible for reviewing automatically generated advertisement texts for any illegal or infringing material. Generated texts are provided as previews and must be manually approved by you before placement.
3.3 Raidbox is not responsible for monitoring your website or content for illegal activity or infringement.
Granted Rights / License
4.1 To use material from your website, you grant Raidbox a non-exclusive, worldwide, royalty-free, unlimited, and irrevocable license (including the right to sublicense) to copy, distribute, amend, display, and publicize the content in connection with the service and Raidbox's business.
4.2 Use of your material beyond the services provided by Raidbox is prohibited.
4.3 Country-specific advertising program terms from search engine providers (e.g., Google Ads Terms) apply. Raidbox reserves the right to delete advertisements violating those terms.
4.4 Raidbox reserves the right to immediately remove advertisements if there is suspected or clear violation of these terms or if placement is technically unfeasible with search engines or portals.
Payment
5.1 Fees consist of a fixed monthly basic fee and variable pay-per-click (PPC) costs.
5.2 Variable click costs for one month are logged, verified, and invoiced in the following month based on search engine/portal transaction systems.
5.3 Actual variable costs may exceed the set daily budget by up to 15%. The fixed basic fee remains unaffected.
5.4 Raidbox may collect the monthly basic fee in advance.
5.5 If you pay invoices without objection within four weeks of receipt, you acknowledge no significant deviation from the set budget and proper provision of the service.
5.6 Raidbox may adjust fees (at most once per quarter) with notice; your consent is deemed given unless you object within 4 weeks.
5.7 In case of VAT rate changes, fees may be adjusted accordingly.
5.8 Billing periods align with calendar months, starting from contract conclusion.
5.9 Payment is by direct debit or authorized method. You authorize Raidbox to collect fees from your specified account. Return debit fees apply if you are responsible.
5.10 In default, reminder fees, statutory interest, and further claims may apply. Raidbox may suspend advertising placements while you remain liable for fees.
5.11 You may offset only undisputed or legally established claims.All other terms remain subject to Raidbox General Terms and Conditions of Service. Raidbox is not liable for advertising performance, click volumes, or search engine rankings.
